These Terms of Service (“Terms”) govern your access to and use of Dodil Cloud and related services (the “Services”), provided by Circle Technologies Pte. Ltd. (UEN 202349702D), a company registered in Singapore (“Dodil,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
These Terms form a binding agreement between you and Dodil. “You” means the individual or organization using the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
The following documents are incorporated into these Terms by reference: our Privacy Policy, our Acceptable Use Policy (“AUP”), and, where you process personal data, our Data Processing Addendum (“DPA”).
The Services include serverless compute (Ignite), a model catalog (Ignite Models), storage (K3 Objects, Tables, and Vector), and pipeline orchestration (Scriptum), along with related tooling and APIs.
Early Access. The Services are currently offered on an Early Access basis. They are provided “as is,” may change, be interrupted, or be discontinued, and are not covered by any service-level agreement. We may add, modify, or remove features at any time.
To use most features you must create an account. You must be at least 18 years old (or the age of majority where you live). Both individuals acting for themselves and organizations may use the Services.
You are responsible for the security of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. You must provide accurate information and keep it up to date.
Your use of the Services must comply with our Acceptable Use Policy. Without limiting it, you must not:
We may suspend or limit use that we reasonably believe violates this section.
You retain all rights in the data and content you submit to or process through the Services (“Customer Data”). You grant Dodil a limited, worldwide license to host, process, and transmit Customer Data solely to provide, secure, and maintain the Services.
You are responsible for your Customer Data and for having the rights and permissions needed to use it with the Services. Where Customer Data includes personal data, our processing is governed by the Data Processing Addendum, under which you are the controller and Dodil is the processor.
The Services may interoperate with, or give you access to, third-party services and models (including catalog models). Your use of those is at your own risk and may be subject to separate terms from the relevant provider. We are not responsible for third-party services.
The Services are offered on a pay-as-you-go basis, and you agree to pay all fees for your usage at the rates in effect, billed monthly in arrears. We also offer packages with a hard spend cap: usage under a package is limited to the cap you select, and the Services may pause or limit further usage once that cap is reached. Fees are exclusive of taxes, which you are responsible for, except taxes on our income.
We may change pricing with at least 30 days’ notice; changes take effect at the start of your next billing cycle. Late or failed payments may result in suspension. Any promotional credits are subject to their stated terms and have no cash value.
These Terms apply while you use the Services. You may stop using the Services and close your account at any time. We may suspend or terminate your access for material breach (including non-payment or AUP violations), or where required by law or to protect the Services or others.
On termination, your right to use the Services ends. You may export Customer Data for 7 days after termination, after which we may delete it in accordance with the DPA. Sections that by their nature should survive termination will survive.
Dodil and its licensors own all rights in the Services, including software, documentation, and trademarks. Except for the limited rights expressly granted to you, no rights are transferred.
If you give us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. This is particularly the case during Early Access.
To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Each party’s total aggregate liability arising out of or relating to these Terms is limited to the greater of US$100 or the fees you paid in the 12 months before the event giving rise to the liability. Nothing limits liability that cannot be limited by law.
You will defend and indemnify Dodil against third-party claims, damages, and costs arising from your Customer Data, your use of the Services in breach of these Terms or the AUP, or your violation of law or the rights of others.
Each party may access the other’s confidential information in connection with the Services. Each party will protect the other’s confidential information with reasonable care and use it only as needed to exercise its rights and meet its obligations under these Terms.
We may update these Terms from time to time. We will post the revised version here and update the “Last updated” date. For material changes, we will provide reasonable notice. Your continued use of the Services after changes take effect constitutes acceptance.
These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the SIAC Rules in force, with the seat of arbitration in Singapore and proceedings conducted in English.
These Terms (with the documents they incorporate) are the entire agreement between you and Dodil regarding the Services. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is unenforceable, the rest remains in effect.
Neither party is liable for delays or failures caused by events beyond its reasonable control. You must comply with applicable export-control and sanctions laws. Our failure to enforce a provision is not a waiver. Notices to you may be sent to your account email; notices to us must be sent to legal@dodil.io.
